Overview
These Terms & Conditions govern the use of services provided by OpsAxis, LLC (“OpsAxis”), a Missouri-based business. By engaging in services, the client agrees to the terms outlined below.
These terms are designed to create clear expectations, protect both parties, and ensure a smooth working relationship.
Services
OpsAxis provides operational support services including, but not limited to, transaction management, administrative support, and social media management.
All services are customized based on the client’s needs and will be outlined in a separate service agreement prior to the start of work.
Scope of Work
Services are limited strictly to what is outlined in the agreed-upon scope of work.
Any additional tasks, requests, or services outside of the agreed scope will require approval and may result in additional fees. OpsAxis reserves the right to decline work that falls outside of the agreed scope.
Payment Terms
Invoices are due upon receipt unless otherwise agreed in writing.
Any balance unpaid as of the eighth (8th) day following the invoice date shall accrue interest at a rate of 0.05% per day (approximately 1.5% per month), or the maximum rate permitted by law, beginning on the eighth (8th) day after the invoice date.
Late fees will accrue daily until payment is received in full.
OpsAxis reserves the right to:
- Suspend services immediately for any unpaid invoice
- Withhold deliverables, reports, or completed work until payment is received in full
The client is responsible for all costs of collection, including reasonable attorney’s fees and collection agency fees, incurred in the enforcement of this agreement.
All fees earned and billed are non-refundable.
Refund Policy
All payments are non-refundable once work has begun or time has been allocated.
Cancellation & Termination
Either party may terminate services at any time. Any outstanding invoices must be paid in full prior to termination.
No refunds will be issued for work completed or time already allocated.
Turnaround Time
OpsAxis aims to complete standard requests within one (1) business day whenever possible.
Turnaround times may vary depending on the scope of the request, complexity, and current workload. Larger projects or requests requiring coordination with third parties may require additional time.
Communication
OpsAxis operates during standard business hours: Monday through Friday, 9:00 AM – 5:00 PM CST.
Communication outside of these hours is not guaranteed. Clients can expect responses within a reasonable timeframe during business hours.
Independent Contractor
OpsAxis, LLC operates as an independent contractor. Nothing in this agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
Intellectual Property
Upon full payment, the client owns the final deliverables provided by OpsAxis.
OpsAxis retains the right to use completed work for portfolio, marketing, or promotional purposes unless otherwise agreed in writing.
Limitation of Liability
OpsAxis is not liable for:
- Missed deadlines resulting from client delays or lack of communication
- Errors or issues caused by third-party systems, platforms, or service providers
- Business outcomes, including but not limited to sales, closings, or lead generation results
All services are provided on a best-effort basis, and no guarantees are made regarding specific results.
Third-Party Platforms
Clients acknowledge that services may involve the use of third-party platforms (such as CRMs, MLS systems, social media platforms, or email tools). OpsAxis is not responsible for outages, errors, or changes within these systems.
Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Missouri.
Updates
OpsAxis reserves the right to update or modify these Terms & Conditions at any time. Updated terms will be posted on this page.
